If you own a company in Costa Rica, the Transparency and Beneficial Ownership Registry, known by its Spanish acronym RTBF, is an obligation you cannot overlook. It is a system run by the Banco Central de Costa Rica where companies and other legal structures must declare who really owns and controls them.

What is the RTBF?

The RTBF (Registro de Transparencia y Beneficiarios Finales) is a digital system developed by the Central Bank of Costa Rica. It requires legal entities, such as corporations (sociedades), trusts (fideicomisos), third-party resource managers, and non-profit organizations, to report their shareholders or participants and their ultimate beneficial owners. The goal is to strengthen the fight against tax fraud, money laundering, and the financing of terrorism.

Who must file, and when?

The obligation applies broadly to legal entities registered in the country. As a rule, the declaration is filed once a year, ordinarily in April, and an extraordinary filing is required whenever ownership or control changes by a significant percentage. Every entity needs an active digital signature (firma digital) and its legal representative to complete the process.

Why it matters

Failing to file, or filing late, can carry real consequences, including fines and administrative restrictions that complicate your company’s operations, such as problems obtaining certifications or completing transactions before the Registro Nacional. Keeping your RTBF declaration current is part of keeping your company in good standing.
